EXECUTIVE SUMMARY
The contract for operation of the Authority’s Devlin Road Transfer Station, Agreement 07-03 with NROWS has a nominal expiration date of December 31, 2022. However, the contract allows the Authority to exercise options up to four one-year extensions. Approval of a one-year extension will provide continuity of operation though December 31, 2023.

ENVIRONMENTAL IMPACT
ENVIRONMENTAL DETERMINATION: The proposed action is not a project as defined by 14 California Code of Regulations 15378 (State CEQA Guidelines) and therefore CEQA is not applicable.
BACKGROUND AND DISCUSSION
Northern Recycling Operations and Waste Services, LLC (NROWS) entered into a contract with the Authority for operation of the Devlin Road Transfer Station in 2007. That contract was subsequently amended in 2010 and again in 2018. The contract has an expiration date of December 31, 2022, and has provisions for up to four one-year extensions at the sole discretion of the Authority. NROWS would like to explore the possibility of a multi-year extension of the contract term and certain adjustments to compensation related to cost increases resulting from new regulations and other factors. They are also proposing to make capital improvements to the DRTS buy-back/recycle center to increase customer safety and provide better security for materials being recycled.
R3 Consulting Group, Inc. is currently under contract with the Authority to conduct a performance review of the DRTS operation and a review of NROWS’ cost increases and contract compliance. That report is expected to be available for review in June. Authorization of a one-year contract extension will provide continuity of operation while a new Executive Director becomes familiar with the Authority, the operation of the DRTS, and the conclusions of the R3 Consulting group report, and is in a position to make well-informed recommendations to the Board regarding potential future contract extensions or modifications.
