BACKGROUND
The State of California (State) is providing lease revenue bond financing to fund $22.8 million for the construction of the Replacement Jail. The State is in the process of selling the bonds and requires execution of various documents by the County. This resolution provides for authorization for the County Executive Officer to execute the Facility Sublease between the State of California Board of State and Community Corrections (BSCC) and the County of Napa.

Upon issuance of the bonds, the County is required to enter into a 25 year sublease with the Board of State and Community Corrections of the State of California. The form of the sublease is being presented to the Board of Supervisors for approval at the meeting at which this resolution is being adopted. The Facility sublease will provide security for the Bonds being issued. The Facility Sublease delineates the County's responsibilities including that of the maintenance and operating costs for the facility and insurance requirements. In addition, the County is to obtain the prior written consent of BSCC before it makes any change in use of the facility. The same requirement applies to the subletting, assigning or allowance of any third party to use any portion of the facility.
