BACKGROUND
In June 2023, the County appointed Ryan Alsop (Employee) as the Chief Executive Officer pursuant to Employment Agreement No. 230460B. In July 2023, the Board of Supervisors authorized Resolution No. 2023-97, approving a $75,000 loan to Employee as a home relocation incentive. Under Section 4.4.6 of the employment agreement, the loan is forgivable each year in the amount of Fifteen Thousand Dollars ($15,000) per year for each year that Employee is employed by the County commencing from the anniversary of the loan closing date. Loan forgiveness is to be made through action of the Napa County Board of Supervisors for each year Employee is eligible for forgiveness.

On November 12, 2024, the Board adopted Resolution No. 2024-120 approving a partial forgiveness for the relocation incentive loan provided to Employee and modifying the loan terms.

On December 9, 2025, the Board adopted Resolution No. 2025-129 extending the term of the employment agreement with Employee to December 31, 2029. In addition, in accordance with the terms of the home relocation incentive loan, Employee was approved for the waiver of $15,000 of the remaining balance of the incentive loan.

On May 19, 2026, the Board adopted Resolution No. 2026-47 amending the housing loan terms by authorizing the loan to be unsecured and directing staff to reconvey the deed of trust securing the housing loan.
