Appoint Jay Kouba to represent the First Floating Alternate Director on the Napa County Flood Control and Water Conservation District with a term of office to commence immediately. The First Floating Alternate Director serves in the absence of the Board of Supervisors. (No Fiscal Impact)

BACKGROUND
There is currently one vacancy for a First Floating Alternate Director on the Napa County Flood Control & Water Conservation District due to the resignation of Juan F. Garcia in September 2024. The County Executive Office advertised the opening and received one application from Jay Kouba.
On January 1, 2003, the State Legislature approved SB 1352 which made the vice-mayors the alternate Directors for the City members of the Napa County Flood Control and Water Conservation District (FCWCD) Board and allowed the Board of Supervisors to appoint two (2) members of the public residing within the District to serve as first and second floating alternates, respectively. The floating alternates shall act as Directors if one or two members of the Board of Supervisors are absent from the District Board for any reason.
The Board of Directors of the FCWCD consists of eleven (11) members. Five (5) of the Directors are members of the Board of Supervisors who each have two (2) votes. The mayor of the City of Napa is also a Director who has two (2) votes. Four (4) Directors are the mayors of the Cities of American Canyon, Calistoga, St. Helena and the Town of Yountville who each have one (1) vote. One (1) Director is a member of the City Council of the City of Napa who also has one (1) vote.
Requested Action:
Appoint Jay Kouba to the Napa County Flood Control & Water Conservation District.
