BACKGROUND
Napa County entered into an Agreement No. 250257B with the City of Calistoga on November 1, 2024 to provide immediate response to emergency incidents in unincorporated areas of Napa County adjacent to the City of Calistoga when the Calistoga Fire Department has resources available to provide this response. This Amendment No. 1 provides clarifying language within Paragraph 3, “Compensation,” of the existing Agreement. Exhibit “C” in the existing Agreement is rescinded and replaced in full by Exhibit “C-1” as attached to Amendment No. 1.
Requested Actions:
1. Approve and authorize Amendment No. 1 for Agreement No. 250257B with the City of Calistoga through June 30, 2025, with four one-year extensions to provide emergency medical, rescue, and fire suppression and protection services in unincorporated areas of Napa County where the City of Calistoga may have the ability to provide enhanced response services.

Future fiscal impact: |
This Amendment clarifies details for compensation to the City of Calistoga for emergency response calls annually. The response volume is estimated to be 225 calls annually at the rate of $788.22 per call. The per call rate may be adjusted whenever the City of Calistoga updates their rate agreement with Cal OES. The annual cost is estimated at $177,349.50 |

Consequences if not approved: |
The City of Calistoga will not be reimbursed for the costs that are incurred. |
ENVIRONMENTAL IMPACT
ENVIRONMENTAL DETERMINATION: The proposed action is not a project as defined by California Code of Regulations, Title 14, Section 15378 (State CEQA Guidelines) and therefore CEQA is not applicable.
