Approve Amendment No. 4 to Agreement 190201B with California Forensic Medical Group, Inc., dba Wellpath Management, Inc to extend the term of the Agreement on a month-to-month basis beginning July 1, 2026 for a maximum of six months to provide health care services to incarcerated persons in custody to the Napa County Detention and Rehabilitation Center and youth housed at Juvenile Justice and Skyline Academy. (Fiscal Impact: $3,819,800 Expense; General Fund; Budgeted; Mandatory)

BACKGROUND
Napa County entered into Agreement No. 190201B with California Forensic Medical Group, Inc., dba Wellpath Management, Inc., On December 18th, 2018, to provide specialized medical services. Amendment No. 1, approved in 2020, modified the payment schedule from quarterly to monthly. Amendment No. 2, approved in 2022, increased compensation to support recruitment and retention of qualified medical staff. Amendment No. 3, approved in 2025, increased compensation and added 5.925 Full Time Equivalent medical staff positions to support operational needs.
To ensure continuity of medical services at the Detention and Rehabilitation Center, Juvenile Justice Center, and Skyline Academy, it is necessary to extend the current agreement on a temporary month-to-month basis while the County completes the process necessary to establish long-term service arrangements. Approval of this amendment will provide for uninterrupted medical services and operational continuity during the interim period.
Requested Action:
Approve Amendment No. 4 to Agreement 190201B with California Forensic Medical Group, Inc., dba Wellpath Management, Inc., to extend the term of the Agreement on a month-to-month basis beginning July 1, 2026, for a maximum of six months.
