BACKGROUND
Napa County Animal Shelter is built to serve the community and its domestic animals by providing programs and services to support Napa County residents and their pets. It also serves as the Shelter for the cities of American Canyon and Napa and the Town of Yountville. The Shelter takes in an average of 2,300 animals a year. The facility functions well, however, as animal populations grow, sufficient space is becoming an issue. On February 25, 2025, the Board of Supervisors received a presentation covering the “Five Year Capital Improvement Plan; Fiscal Years 2025-26 to 2029-30,” which included this project to repair roof leaks and heating, ventilation, and air conditioning (HVAC) units that are past their useful life in Fiscal Year 2025-26.
On June 24, 2025, the Board of Supervisors approved an authorization of $300,000 to create the project and provide starter funds for design. On September 9, 2025, the Board of Supervisors authorized and signed an agreement for design services with YEI Engineers, Inc., as well as an additional budget amendment of $200,000.
The original recommendation developed through the feasibility study included replacement of all HVAC system components and a complete roof replacement. As of January 2026, the estimated construction cost to implement all recommended improvements was approximately $7.0 million. Recognizing that funding for the full project was not immediately available, staff developed a Phase I project focused on addressing the most critical facility needs.
Included in the Fiscal Year 2026-27 budget is $5,150,00 million in Project CIP00 for a list of Building Capital Improvement Projects with not-to-exceed project amounts approved by the Board. Animal Shelter Project (25043) was on the list with a not-to-exceed amount of $500,000. With respect to this agenda item, a budget amendment and subsequent transfer of funds will be prepared to reallocate $300,000 from CIP00 to Project 25043. These actions will be reviewed and approved by the County Executive Office and the Auditor-Controller Office to ensure compliance with the adopted budget and availability of funds. The remaining $200,000 will be used to develop a future feasibility study for shelter expansion. At the time the $500,000 not-to-exceed amount was established during the Fiscal Year budget development process, an interim repair solution was still being evaluated, and a cost estimate was not yet available. Rather than a full roof replacement, Phase I includes application of a roof restoration coating system to extend the service life of the existing roof. In addition, staff will return to the board to award a parallel but separate project to replace the existing furnaces, which are experiencing failures and are at the end of their useful life, while deferring replacement of the remaining HVAC components. Construction for both roof repair and furnace replacement is scheduled for completion in the 2026 calendar year. The Board approved plans and specifications for the projects on June 23, 2026. The selected approach ultimately resulted in a design with a 15-year warranty. Since then, the design has been completed, bids have been received, and the budget requested today is based on the final design and the resulting bid prices shown below.

The lowest responsive base bid of $364,825 is from Sustainable Living Builders of Sebastopol, CA. After staff evaluation of the low bidder’s proposal, it was rejected due to insufficient bid surety. The allowed forms of bid surety for the project included: Original Hard Copy of Notarized Bid Bond using the County’s form, Certified Check, Cashier's Check, or Cash. The bidder elected to provide a Certified Check, however, the check provided was not certified. Therefore, Titans Group Corporation’s second low bidder proposal was determined to be responsive and complete.
Titans Group Corporation of Escondido, CA has the second lowest responsive base bid of $518,320. In addition, staff recommends award of Additive Alternate #1 for $13,941, for a grand total contract cost of $532,261. Additive Alternate #1 is to replace the solar system inverter #5 at the facility, reported with annual maintenance and currently non-operational and locked out. The additive alternate has been reviewed for County available funds.
The total project cost for the “Napa County Animal Shelter Phase I Roof Repair,” PW 26-05A is $1,245,508, including design phase funds previously approved, and the request today for $745,508; this is with respect to and includes the previously discussed $300,000 budget reallocation from CIP00. The total project cost of $1,245,508 breakdown includes: $532,261 to cover the construction contract, $133,065 to cover a 25% construction contingency, $59,500 for construction management services, $68,000 for County staff administration services, and $452,682 for design consultant services. Of the total project cost $500,000 was previously allocated for the design, see attached budget sheet for complete breakdown.
Additional funding sources are available to make up some of the difference in project budgetary need. The dedicated Animal Shelter Capital Improvement funds as well as existing bequest funds have an available balance of $300,000 and $145,508 respectively as approved for use by funding partners for a total roof project contribution of $445,508.
Titans Group Corporation is not a local vendor; however, the Public Contract Code requires that the construction contract be awarded to the lowest responsible bidder regardless of whether the low bidder is local or not. Staff reached out to the local construction contractor community by advertising the request for bids in the Napa Valley Register and the Solano-Napa Builder's Exchange, and by posting on the County website. Staff also sent "Notices to Contractors" to the local construction community.
Requested Actions:
1. Award of construction contract for the “Napa County Animal Shelter Phase I Roof Repair,” PW 26-05A to Titans Group Corporation of Escondido, California for their second low grand total bid of $532,261; and
2. Approve a Budget Amendment for the following (4/5 vote required):
a. Increase appropriations for Project ANS00 - Uncommitted Projects Funds in the Animal Shelter Fund (Fund 5040, Sub-Division 5040500) in account 57900 - intrafund transfers out by $300,000, offset by use of its available fund balance to transfer to Project 25043 - Animal Shelter HVAC & Roof (Fund 5040, Sub-division 5040500, Account 49900);
b. Increase appropriations in the Animal Shelter Operations budget (Fund 5040, Sub-Division 5040000) in account 57900 - intrafund transfers out by $145,508, offset by use of its available fund balance (Bequest) to transfer to Project 25043 - Animal Shelter HVAC & Roof (Fund 5040, Sub-division 5040500, Account 49900); and
c. Increase appropriations for Project 25043 - Animal Shelter HAVC & Roof in the Animal Shelter Fund (Fund 5040, Sub-Division 5040500) in account 52360 - Construction Services by $445,508 offset by the intrafund transfer in revenue (49900) from Project ANS00 and Animal Shelter Operations budget.
