BACKGROUND
On October 20, 2020, the Napa Valley Transportation Authority (NVTA) and Caltrans executed a Cooperative Agreement to design and construct the Napa Valley Vine Trail (NVVT) between St. Helena and Calistoga. On December 7, 2021, the Board approved a Maintenance Agreement with Caltrans for the County to maintain the NVVT. In May 2022, NVTA hired Ghilotti Construction to construct portions of the NVVT in the Caltrans right-of-way and over private properties between the City of St. Helena and City of Calistoga limits. On January 27, 2025, NVTA filed a Notice of Completion and Napa County took responsibility for maintenance.
On June 26, 2023, the Board approved Agreement 230397B between the Napa County Regional Park and Open Space District (NCRPOSD), Napa Valley Vine Trail Coalition (NVVTC), and County for the NVVTC and County to split the costs for the NCRPOSD to maintain the bicycle and pedestrian multi-use path in the unincorporated portion of the Vine Trail.
During rain storms during early 2025, NVVTC and Napa County staff identified drainage problems for property owners adjacent to the Project that were exacerbated by the Project. Volunteers fixed some of the problems; however, a construction contractor is required to construct some drainage improvements, which are “non-routine” maintenance. Section 7.1 of Agreement 230397B states that “If Non-Routine Maintenance at some point becomes necessary on the County Section, County and the Coalition shall meet and confer to resolve such issues and shall address such work and their respective responsibilities for the cost of such work in good faith.”
Between York Lane and the driveway to 2930 ST. Helena Highway, the Project diverted water onto private property and NVVTC and County staff agreed to evenly split the cost of constructing a curb, gutter, and underdrain system. Between Mill Creek and the driveway to 3414 St. Helena Highway, the Project diverted water onto private property and NVVTC and County staff agreed to evenly split the cost of a drainage inlet and swale to mitigate the issue. The NVVTC requested bids and hired Azul Works to construct the improvements for $131,895 with prevailing wage rates. Azul Works also submitted a $24,225 change proposal to construct an underdrain between York Lane and the driveway to 2930 St. Helena Highway. The Napa County share is $78,060; however, staff recommends a $6,939 contingency for a total budget of $85,000. Director recommends that the Board of Supervisors approve the Agreement.
Requested Action.
1. Approve and authorize Agreement No. 260252B with Napa Valley Vine Trail Coalition to provide funding in the amount of $85,000; and
2. Approval of a Budget Amendment for the following (4/5 vote required):
a. Increase Intrafund Transfers Out appropriations by $85,000 in the Roads Operations budget (Fund 2040, Sub-Division 2040000, Account 57900) offset by use of its available fund balance to fund Project 26007 and increase to its Intrafund Transfers In revenues (Fund 2040, Sub-Division 2040500, Project 26007, Account 49900); and
b. Increase Construction Services appropriations in Project 26007 by $85,000 (Fund 2040, Sub-Division 2040500, Project 26007, Account 52360) offset by Intrafund Transfers In revenues from the Roads Operations budget.

The County is obligated to operate and maintain the multiuse path, and the Napa Valley Vine Trail Coalition (NVVTC) has committed to paying half the expenses. The County will reimburse the NVVTC with Roads Operations funding. |
