EXECUTIVE SUMMARY
Approval of Amendment No. 2 to Agreement No. 170853B will increase the maximum compensation for professional services from $12,000 to $35,000 for the remainder of the contract term. The contract is in year two of the automatic annual renewals period which is set to expire on June 30, 2024. The increase in maximum compensation is due to the need for additional services.

ENVIRONMENTAL IMPACT
ENVIRONMENTAL DETERMINATION: The proposed action is not a project as defined by 14 California Code of Regulations 15378 (State CEQA Guidelines) and therefore CEQA is not applicable.
BACKGROUND AND DISCUSSION
Stanley Access Technologies, LLC has provided on-call services for automatic doors located in County-owned building since April 13, 2017. On-call services are needed to address issues that arise with control operator systems, safety sensors, and automatic door openers including troubleshooting system issues and completing repairs to door openers.
On December 10, 2019, the Board approved Amendment No. 1 to extend the term of the agreement through June 30, 2022, with automatic renewals for no more than two (2) years. Additionally, the amendment increased maximum annual compensation from $9,999 to $12,000 per fiscal year for additional on-call services for the re-entry facility and the replacement jail site.
In July 2022, Stanley Access Technologies, LLC was acquired by Allegion plc. Following the acquisition, Stanley Access Technologies, LLC, by an amendment to it certificate of incorporation, dated September 2, 2022, changed its legal name to Allegion Access Technologies, LLC.
Today’s action will approve Amendment No. 2 to Agreement No. 170853B to increase compensation for professional services by $23,000 for a new annual maximum of $35,000 for current Fiscal Year 2023/24.
