BACKGROUND
The Napa Sanitation District (“NapaSan”) is an independent jurisdiction that has, for many years, contracted with Napa County (“County”) for the provision of support services, including, but not limited to, telecommunications, mail, and information technology services. This agreement was recently reviewed and revised by NapaSan and County ITS staff to reflect current service levels and operational requirements, and such revised agreement was approved by the Agency on April 1, 2026. The term of the Agreement extends through June 30, 2031, and includes delegated authority to the County’s Chief Executive Officer to extend the term on behalf of the County for an additional five (5) year term should both parties desire to extend the support services agreement, subject to the mutual written consent of both parties.
The County and NapaSan have entered into agreements for the provision of such support services since 2007 and now desire to terminate the existing agreement (County Agreement No. 6898) and enter into a new agreement incorporating updated terms and conditions governing the provision of such services.
Requested Action: Approve and authorize Agreement No. 260346B with Napa County and NapaSan.

ENVIRONMENTAL DETERMINATION: The proposed action is not a project as defined by 14 California Code of Regulations 15378 (State CEQA Guidelines) and therefore CEQA is not applicable.
