SUBJECT: Approval of Agreements with the City of American Canyon, City of Napa, and Town of Yountville for County-provided Animal Shelter Services.

Approve and authorize Agreement No. 260319B with the City of American Canyon; Agreement No. 260318B with the City of Napa; and Agreement No. 260317B with the Town of Yountville for the County to provide Animal Shelter Services for the term July 1, 2026 through June 30, 3031 with compensation equal to a proportionate share of each jurisdiction’s budgeted operating expenses and contributions to fund future capital expenditures. BACKGROUND
On October 13, 2009, Napa County entered into Professional Service Agreements with the City of American Canyon, the City of Napa, and the Town of Yountville (collectively referred to as “Agency Partners”) to provide animal shelter services with compensation based upon an allocation method whereby Agency Partners pay the County for costs associated with accepting and providing care, shelter, and other services for those animals brought to the County’s Animal Shelter and Adoption Center from their jurisdictions. The cost methodology was proportionate to each jurisdiction’s population (population proportion) and payments were made in arrears based upon actual costs incurred. These agreements were terminated as of June 30, 2019 and they were superseded with new agreements that became effective on July 1, 2019. The new agreements largely stayed the same but included minor modifications to the compensation methodology to allow the Animal Shelter to collect payments in advance of services and to retain an agreed upon fund balance for unanticipated expenditures. The cost methodology continued to be based upon population proportion. These agreements expired on June 30, 2025 but were amended on June 3, 2025 to extend the term by one year, to June 30, 2026, to allow the Agency Partners and Napa County to explore alternative cost allocation methods and revisit the scope of work. The current agreements expire on June 30, 2026.
Over the past year, County staff and the Agency Partners worked with a third-party consultant, Matrix Consulting Group, Ltd, to analyze the existing cost allocation method and to explore other potential fair and equitable allocation methods. The work with Matrix Consulting Group, Ltd. was completed and a collective decision was made to continue use of the population proportion method. The Agency Partners and County staff also revisited the scope of work for animal shelter services. While the format of the scope of services was updated to provide more clarity, the overall scope of work did not change significantly. In summary the services provided under these agreements include the following:
1. Acceptance of animals from within the jurisdictional boundaries of the Agency Partners within the structural and humane operating capacity of the Animal Shelter facility.
2. Rendering of a spectrum of common animal shelter and care service as operationally feasible and in a manner consistent with Chapter 6 of Napa County Code to animals in the care of the shelter, including but not limited to: providing behavior, physical and medical assessments and treatments; administering vaccinations and microchips; effectuating spaying and neutering; providing animal care, feed, and shelter; promoting and coordinating adoptions; coordinating alternative placements of animals; performing humane euthanasia; operating a volunteer/foster program; disseminating education materials; maintaining computerized records; managing a cat trap rental program; and coordinating disaster/emergency preparedness.
3. Issuance of pet licenses.
Requested Action:
Approve and authorize the Chair to sign the following agreements related to County providing animal shelter services for the term July 1, 2026 through June 30, 2031:
1. Agreement No. 260319B with the City of American Canyon;
2. Agreement No. 260318B with the City of Napa; and
3. Agreement No. 260317B with the Town of Yountville.
